This Agreement is made effective as of [Insert Date], by and between any registered Seller and ABA Marketplace, a website operated by Behavior webinars (hereinafter referred to as “ABA Marketplace”).
Whereas, ABA Marketplace operates an online platform allowing Sellers to offer and sell digital products related to Applied Behavior Analysis (ABA);
Whereas, Seller wishes to list and sell digital products on ABA Marketplace under the terms and conditions set forth herein;
Now, therefore, in consideration of the mutual covenants and agreements contained in this Agreement, the parties hereto agree as follows:
- Grant of Rights
- Seller hereby grants ABA Marketplace the non-exclusive right to list, advertise, and sell the digital products specified in this Agreement.
- Seller grants ABA Marketplace the authority to handle customer refunds in accordance with ABA Marketplace’s refund policy.
- Revenue Sharing
- Revenue generated from the sale of Seller’s digital products shall be divided as follows: 60% to Seller and 40% to ABA Marketplace.
- Payment to Seller will be made on the first of the month through paypal. Payment is subject to any deductions for refunds or chargebacks.
- Seller Responsibilities
- Seller is solely responsible for the content of the digital products and shall ensure they are of high quality, accurate, and comply with all applicable laws and regulations.
- Seller agrees to update their digital products as necessary to maintain their accuracy and relevance.
- Seller is responsible for setting the price of their digital products, with the understanding that ABA Marketplace reserves the right to offer promotional discounts.
- Seller agrees to conduct all activities in accordance with the Behavior Analyst Certification Board (BACB) ethics code, the Registered Behavior Technician (RBT) ethics code, and not to violate any BACB trademarks.
- Term and Termination
- This Agreement shall commence on the date the Seller registers on the site
- Upon termination, ABA Marketplace shall remove Seller’s digital products from the platform and disburse any final payments owed to Seller.
- Indemnification
- Seller agrees to indemnify and hold harmless ABA Marketplace and its affiliates, officers, agents, and employees from any claim or demand, including reasonable attorneys’ fees, made by any third party due to or arising out of Seller’s digital products, violation of this Agreement, or violation of any laws or regulations.
- Miscellaneous
- This Agreement constitutes the entire agreement between the parties concerning its subject matter and supersedes any prior or contemporaneous agreements, understandings, and negotiations.
- Any amendments to this Agreement must be in writing and signed by both parties.
